Acceptance of these terms
These Terms and Conditions (“Terms”) form an agreement between
you and 2830991 ALBERTA LTD., operating as
Clearwise Reports (“Clearwise,” “we,” “us” or “our”).
By accessing our website, placing an order, submitting
documents or using our services, you agree to these Terms and
our Privacy Policy. Do not use our services if you do not agree.

Our service
Clearwise Reports reviews condominium documents and prepares an
informational summary based on the documents and information
provided to us.
The scope of a review may include financial statements, budgets,
reserve fund studies, meeting minutes, bylaws, insurance
information, notices, contracts and other condominium-related
records.

Informational service only
Our reports are intended to help customers understand information
contained in submitted condominium documents. Clearwise Reports is
not a law firm, accounting firm, engineering firm, appraisal firm,
real estate brokerage, home inspection company or insurance advisor.
Our reports are not legal, financial, engineering, accounting,
investment, insurance, appraisal, inspection or real estate advice.
You should consult qualified professionals regarding matters within
their expertise.

No guarantee or prediction
A report reflects only the documents and information available at
the time of review. We do not guarantee that documents are complete,
accurate, current, authentic or free from errors or omissions.
We cannot predict or guarantee future condominium fees, repairs,
lawsuits, insurance claims, special assessments, reserve fund
requirements, market value, building performance or decisions made
by a condominium board, manager, insurer, owner or government
authority.

Your responsibilities
You agree to:
- Provide accurate customer, property and transaction information.
- Provide complete, readable and current documents as early as reasonably possible.
- Confirm that you have authority to submit all documents and personal information.
- Review your report promptly and ask questions before any contractual deadline.
- Obtain independent professional advice where appropriate.
- Make your own purchasing, selling, financing and legal decisions.

Missing or late documents
Our review may be limited when documents are missing, incomplete,
outdated, unreadable or received late. We may identify missing
information in the report, request additional documents, adjust
the delivery date or decline to review unsuitable materials.
Clearwise Reports is not responsible for missed financing,
inspection, condominium-document or other contractual deadlines
caused by late or incomplete submissions.

Turnaround time
Any delivery date or turnaround time is an estimate unless we
expressly agree otherwise in writing. The turnaround period begins
only after payment and all documents reasonably required to start
the review have been received.
Turnaround may be affected by document volume, complexity, missing
information, technical issues, customer response times, order volume
and circumstances outside our reasonable control.

Fees and payment
Prices are shown on our website or confirmed during ordering.
Applicable taxes and additional charges will be disclosed before
payment where reasonably possible.
Payment is due according to the terms shown at checkout. We may
pause or decline work if payment is incomplete, reversed, disputed
or suspected to be fraudulent.

Cancellations and refunds
You may request cancellation by contacting us as soon as possible.
Unless otherwise required by law:
- A full refund may be provided if work has not started.
- A partial refund may be provided if work has started but the report is not substantially complete.
- No refund may be available after the report has been substantially completed or delivered.
- Third-party processing fees or non-recoverable costs may be deducted where permitted.
Any specific refund or cancellation terms displayed at checkout
will form part of these Terms.

Revisions and follow-up questions
Reasonable questions about the contents of a completed report may
be submitted within 7 days after delivery.
Corrections required because of our error will be made without
additional charge. New documents, changed circumstances, expanded
scope or extensive additional analysis may require a new order or
additional fee.

Technology-assisted processing
We may use secure software and technology-assisted tools to organize
documents, extract information, support analysis, identify potential
issues and prepare report content.
Technology-assisted outputs may contain errors or omissions and are
subject to our review process. You agree that these tools may be used
as part of providing the service, subject to our Privacy Policy.

Privacy and confidentiality
Our collection, use, storage and disclosure of personal information
is governed by our Privacy Policy. You acknowledge that electronic
communication and online storage involve inherent security risks
despite reasonable safeguards.

Permitted use of reports
Your report is prepared for the customer named in the order and for
the specific property identified in that order. It may be shared with
your authorized real estate, legal, lending or advisory professionals
for the related transaction.
You may not resell, publish, alter, misrepresent, commercially
distribute or use the report for an unrelated property or transaction
without our written permission.

Third-party reliance
Unless we expressly agree in writing, no third party may rely on a
report. A person receiving a copy does not become our client and
acquires no rights against Clearwise Reports.

Intellectual property
Our website, branding, report format, scoring system, layouts,
written materials, processes and original content are owned by or
licensed to Clearwise Reports and are protected by applicable
intellectual-property laws.
You receive a limited, non-exclusive licence to use your completed
report for the related personal or professional transaction, subject
to these Terms.

Website use
You must not interfere with website security, attempt unauthorized
access, upload malicious code, scrape protected content, impersonate
another person, submit unlawful materials or use the website in a
way that could damage our systems or reputation.

Third-party services
Our website or service may rely on third-party providers or link to
third-party websites. We are not responsible for their availability,
content, acts, omissions, security, privacy practices or separate
terms.

Disclaimer of warranties
To the fullest extent permitted by law, our website, reports and
services are provided on an “as is” and “as available” basis. We
disclaim warranties and conditions not expressly stated in these
Terms, including implied warranties of accuracy, completeness,
fitness for a particular purpose and non-infringement.

Limitation of liability
To the fullest extent permitted by law, Clearwise Reports and its
owners, employees, contractors and service providers will not be
liable for indirect, incidental, special, punitive or consequential
losses, including lost profits, lost opportunities, loss of property
value or costs arising from a purchase or sale decision.
To the fullest extent permitted by law, our total liability arising
from a specific order will not exceed the amount you paid to
Clearwise Reports for that order.
Nothing in these Terms excludes liability that cannot legally be
excluded or limited.

Indemnity
To the extent permitted by law, you agree to indemnify and hold
Clearwise Reports harmless from claims, losses and reasonable costs
arising from your unlawful use of the service, your lack of authority
to submit documents, your breach of these Terms or information you
provide that infringes another person’s rights.

Service refusal and termination
We may refuse, pause or terminate service where reasonably necessary
because of non-payment, abusive conduct, suspected fraud, unlawful
activity, conflicts, security concerns, document-access restrictions
or requests outside our service scope.

Governing law
These Terms are governed by the laws of the Province of Alberta and
the federal laws of Canada applicable in Alberta, without regard to
conflict-of-law principles.
Subject to any mandatory consumer rights, disputes will be brought
before the courts located in Alberta.

Changes to these terms
We may update these Terms from time to time. Updated Terms will be
posted with a revised effective date and will apply to future website
use and orders. Terms in effect when an order is placed generally
govern that order unless the parties agree otherwise or a legal
requirement applies.

General provisions
If a provision is found unenforceable, the remaining provisions will
continue in effect. Our failure to enforce a provision is not a
waiver. You may not transfer your rights under these Terms without
our written consent. Headings are for convenience only.
